Product Terms

These Product Terms contain product-specific contractual terms for Wowmotive fleet-management and related functionality. They apply only to products/modules identified in the applicable Order Form.

Fleet functionality may include vehicle and asset management, driver assignment, trip and job workflows, dashboards, reports, alerts and operational tools. Feature availability depends on the purchased plan and may change at Wowmotive’s discretion.

The Driver App may support driver identification, assignments, jobs, trips, operational workflows, uploads and communications. Customer is solely responsible for all employment, driver-monitoring and workforce requirements applicable to its use.

GPS, mapping, routing and ETA functionality is not a guarantee of route legality, road availability, permit status, or compliance with any restriction. Customer must independently verify all route and operational requirements. Availability and precision depend on device, connectivity, and third-party infrastructure outside Wowmotive’s control.

Wowmotive may facilitate access to third-party mapping, communications, cloud, or other services. Wowmotive does not control or warrant any independent Third-Party Service and has no liability for it except where expressly and specifically assumed in writing.

Customer is solely responsible for integrations and credentials it controls.

Mapping, routing, traffic, and other third-party data is subject to separate provider terms, coverage limits, and accuracy limitations for which Wowmotive has no responsibility.

The Services are not designed or represented as emergency-response, life-safety, collision-avoidance, or autonomous-control systems. Routing, ETA, GPS, geofence, alerts, scores, and analytics are operational aids only, may be delayed, incomplete, unavailable or inaccurate, and Customer must independently verify all information. Customer remains exclusively responsible for all operational, safety, employment, and regulatory decisions. Wowmotive does not provide driver-level scoring intended to determine pay, discipline, employment access, or termination, and has no liability for Customer’s use of any score, alert, or analytic output for such purposes.

Wowmotive has no responsibility or liability whatsoever for any accident, collision, injury, death, property damage, traffic violation, or other consequence arising from the operation of a vehicle or the conduct, fitness, or behavior of a driver, whether or not the Services were in use at the time. Customer is solely responsible for driver conduct, vehicle operation, and all resulting outcomes, and will indemnify Wowmotive as set out in MSA Section 25.

Where enabled, the invoicing, payroll, and driver-wallet features are internal record-keeping and ledger tools only. Wowmotive does not hold, custody, transmit, or process funds, does not collect or store bank account or card numbers through these features, and is not a licensed payment service provider, money transmitter, or payroll processor. These features do not constitute, and are not a substitute for, compliance with the UAE Wage Protection System (WPS) or any other mandatory wage-payment, tax, labour, or financial-services law. Customer remains solely and exclusively responsible for actual wage payment, WPS compliance, tax withholding, and all other financial and labour obligations to its drivers and employees.

The DPA governs Personal Data processing and the Security Addendum governs security commitments. These Product Terms do not change Controller/Processor roles or create an independent right to use Personal Data.

Regional regulatory requirements are addressed through applicable Regional Addenda and mandatory law. No regulatory registration, certification or status is represented unless expressly identified and current.

Wowmotive may update these Product Terms, and may modify, limit, or discontinue product functionality, at any time in its sole discretion and without prior notice, except where Applicable Law or the MSA requires separate notice or agreement. Any change that materially eliminates core functionality of an active paid subscription remains subject to the MSA.

These Product Terms control product-specific matters. The DPA controls Personal Data processing, the Security Addendum controls security, the SLA controls service levels, a Regional Addendum controls applicable regional matters, and the MSA controls other general legal terms.

These Product Terms become binding when incorporated into an executed Order Form or other written agreement.
